• 01Lead legal execution of primary and secondary capital markets transactions — including equity offerings, debt security offerings, convertible instruments, and private placements — from initial diligence through negotiation, signing, and closing
• 02Manage Rule 144A offerings, including reviewing offering memoranda, purchase agreements, indentures, and related transaction documents, and coordinating with initial purchasers, trustees, and rating agencies
• 03Manage the completion of disclosure schedules, ancillary documents and KYC requests; coordinate document flow with investors, banks, and outside counsel
• 04Work with finance team to oversee post-closing matters and ensure ongoing compliance with covenants, obligations, and reporting requirements
• 05Partner with the real estate and debt finance legal teams on project financings, coordinating on diligence, financing structure, offering documentation and related transaction documents
• 06Maintain organized internal deal files and corporate records. Develop standardized templates, checklists, and playbooks to improve team efficiency and transaction consistency
• 07Provide backup and surge support to the Corporate & Securities function, including preparing Board and committee materials (agendas, presentations, minutes, and resolutions)
• 08Assist with stockholder consents and notices, and advise on company governing and investor documents (charter, bylaws, voting agreements, and rights of first refusal)
• 09Support securities-related disclosures and periodic or event-driven investor reporting, and advise on policies and equity transaction reporting as needed
• 10Serve as a key legal advisor on corporate and securities matters to partners across the company, including Finance, Accounting, Investor Relations, and HR
• 11Translate complex legal and regulatory requirements into clear, practical guidance for business stakeholders

Требования

• 01Juris Doctor (JD) from an accredited law school and active membership in good standing in at least one U.S. state bar
• 02A minimum of 4-7 years of corporate and securities experience at a top-tier law firm, with a primary concentration in capital markets and securities transactions
• 03Hands-on experience leading or playing a substantial role in public and private capital markets offerings
• 04Working knowledge of corporate governance, securities reporting, and regulatory compliance
• 05Proven track record of advising companies on complex corporate and transactional matters
• 06Exceptional attention to detail with strong analytical and problem-solving skills
• 07Excellent business judgment and strong communication skills, with the ability to effectively advise and influence stakeholders at all levels
• 08Demonstrated ability to handle sensitive and confidential information with extreme professionalism
• 09A proactive, team-oriented mindset with the ability to manage multiple projects in a fast-paced environment
