Director, Stock Administration

- 01Manage international compliance
- 02Partner with other functional leads (including in Legal, HR, Payroll, Accounting and Finance) to develop processes which ensure the accuracy of all equity data including all aspects of record-keeping, withholding, reporting, reconciliation and auditing
- 03Ensure proper taxation is applied to all equity exercises and releases
- 04Ensure regulatory compliance for Section 16 executive and Board members and assist in the preparation of SEC Form filings
- 05Manage the reporting, reviewing, and tracking of 10b5-1 trading plans
- 06Lead and assist with ad-hoc projects
- 07Create stock reports as requested; assist with stock-related disclosures and with internal, external audits
- 08Conduct various stock analysis, modeling, and testing
- 09Ensure that all forms of equity compensation are administered following the terms and conditions of the plan(s) under which they are granted
- 10Manage the overall quarterly calendar of various stock administration related activities
- 11Implement educational sessions, presentations, and communication materials for the global employee base to support understanding of equity programs and policies
- 12Provide a superior level of service, prioritizing and satisfying multiple questions and requests from employees, management, and others supporting employee understanding of stock plan services, enrollment, and transactions
- 13Assist efforts to improve the stock administration function, including improving and introducing additional best practices with controls, automating routine workstreams and paperwork processes to ensure more efficient, accurate, and processing of stock administration matters and reports
- 14Lead system improvement and implementation as needed
- 15Assist with mobility and international reporting compliance from an equity perspective
- 16Assist with the equity program communication and employee education
- 17Participate in the conversion and assumption of equity awards as required with M&A
- 18Process or support bi-annual ESPP purchases and quarterly RSU releases
- 19Participate in the preparation of the annual proxy filing, including providing and reviewing equity data included in the document

- 01CEP designation preferred or willing to complete within 18 months
- 02Minimum of 9 years of stock administration experience
- 03Outstanding analytical, communication and organizational skills
- 04Excellent business judgement, strategic thinking and ability to manage multiple priorities
- 05Detail oriented with a high degree of accuracy
- 06Ability to inspire action and coordinate simultaneous initiatives
- 07Intellectually curious with an aptitude for creative problem-solving and analysis
- 08Must be a dependable teammate, ready to collaborate with multiple cross-functional partners (ie. Finance, Legal, HR, and external vendors)
- 09Ability to work in fast-paced environment, manage competing priorities, efficiently prioritize tasks, and adhere to critical deadlines
- 10Affinity for customer service, demonstrating excellent oral and written communication skills
- 11Confident working with various levels of management and handling highly confidential data
- 12Knowledge of regulatory and compliance matters related to equity programs and taxation
- 13Advanced Excel user (i.e. pivot tables, xlookup, vlookup)
- 14Experience with EEO

- 01Annual base salary range: $184,000 — $253,000 USD for candidates located in California (excluding San Francisco Bay Area), Colorado, Illinois, New York, and Washington
