Обязанности

01Corporate entity governance and maintenance for domestic and foreign entities
02Prepare board materials, written consents, resolutions, certifications, minutes, and other corporate documentation
03Assist with legal aspects of special projects, including financings, real estate, insurance, and M&A: transactions documents, due diligence, and ongoing obligations
04Support compliance function, including maintaining policy database and providing guidance on legal processes and procedures
05Support the drafting and maintenance of employment-related documents
06Conduct legal research and benchmarking
07Respond to internal and external legal inquiries (e.g., vendor KYC)
08Work with other members of the legal team and as well as other company functional departments on special initiatives
09Provide operational support to the legal team (e.g., manage legal subscriptions)

01Minimum of five years of corporate paralegal experience in a law firm or technology company, with a broad scope of practice: corporate governance, securities, employment, and strategic transactions
02Registered notary
03Bachelor’s degree (paralegal certificate is a plus)
04Self-motivated individual with strong organizational skills and attention to detail
05Reliable problem solver who is able to work in a fast-paced environment and adapt quickly to changing priorities with a service-oriented attitude
06Team-focused and collaborative work style; willingness to build expertise and solve new challenges in an evolving practice
07Plus: Experience with private-company employee equity and cap table management software (e.g., Carta) or willingness to learn
